Terms & Conditions of Cedarwood Management LLC
Effective January 1, 2025
1. ACCEPTANCE OF TERMS
By accessing Cedarwood Management LLC’s services, website, platforms, rental forms, documents, communications, or managed properties (collectively, the “Service”), you acknowledge that you have read, understand, and agree to be legally bound by these Terms & Conditions (“Terms”) and our Privacy Policy.
If you do not agree, do not use the Service.
These Terms are a legally binding agreement between you (“User,” “Tenant,” “Applicant,” or “you”) and Cedarwood Management LLC, an Ohio limited liability company (“Cedarwood,” “we,” “us,” or “our”).
2. DESCRIPTION OF SERVICES
Cedarwood provides:
• Residential rental housing and property management services.
• Online access to applications, inquiry forms, tenant communications, scheduling, billing, and maintenance requests.
• Access to policies, documents, agreements, and communications necessary for leasing, compliance, or tenant relations.
Cedarwood does not provide legal, financial, investment, or professional advisory services.
All housing is subject to availability, qualification, application approval, written lease execution, and compliance with law.
3. ELIGIBILITY AND REGISTRATION
3.1 Age Requirement
Users must be at least 18 years old to enter into legal agreements with Cedarwood.
3.2 Application Information
To apply, schedule a showing, or submit service requests, you may be required to provide accurate personal information. False, incomplete, or misleading information constitutes a breach of these Terms.
3.3 Account Responsibilities (if applicable)
Where a tenant portal or online access exists, you are responsible for:
• Maintaining confidentiality of passwords/access
• All activity occurring under your access
• Notifying Cedarwood of unauthorized use
We may suspend access for suspected misuse or violation.
4. USER CONDUCT AND RESPONSIBILITIES
Users agree not to:
• Submit false, hostile, defamatory, or fraudulent information
• Provide unauthorized personal information of others
• Upload harmful code, misuse systems, or circumvent access controls
• Interfere with operations, application integrity, or tenant safety
• Use services for unlawful purposes
Tenant obligations under lease agreements remain enforceable in addition to these Terms.
5. CONFIDENTIALITY & NON-DISCLOSURE
Users may receive or have access to non-public information including business practices, property information, tenant data, documents, communications, and internal processes (“Confidential Information”).
You agree to:
• Keep Confidential Information private
• Use it solely for its intended property-related purpose
• Not disclose it to others without permission
Cedarwood reserves all rights to enforce confidentiality and pursue legal remedies for breach.
6. LICENSE TO SUBMISSIONS & COMMUNICATIONS
Where users submit applications, maintenance requests, communications, forms, or feedback, Cedarwood may retain and use such information for legitimate operational purposes.
Cedarwood may anonymize, archive, or store such data subject to legal compliance.
7. INTELLECTUAL PROPERTY
All Cedarwood content, forms, policies, website text, documents, trademarks, and materials are owned by Cedarwood or its licensors. Users are granted a limited, revocable, non-exclusive license for personal use relating to housing agreements.
No copying, resale, distribution, or derivative use is permitted without written consent.
8. DISCLAIMERS
8.1 No Warranties
Services, property availability, and communications are provided “AS IS” without warranties, express or implied.
8.2 Operational Disclaimers
Cedarwood does not guarantee:
• uninterrupted services or website access
• immediate maintenance response
• uninterrupted utility service (water, electric, internet)
Such interruptions do not create liability unless prohibited by law.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
• Cedarwood is not liable for indirect, incidental, punitive, or consequential damages (including lost profits or data).
• Total liability shall not exceed $100 or the amount paid directly for the disputed service, whichever is less.
Some laws may override limitations.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Cedarwood and its affiliates from any claims, loss, damage, cost, or expense (including attorney fees) arising out of:
• your actions
• misuse of the Service
• tenancy violations
• breach of these Terms
11. TERMINATION OF ACCESS
We may suspend or terminate access at any time, including misuse, fraudulent behavior, harassment, or breach of agreements.
Upon termination, user rights cease, but Cedarwood may retain data for lawful compliance or operational archival.
12. DISPUTE RESOLUTION
12.1 Governing Law
These Terms are governed by Ohio law, without regard to conflicts principles.
12.2 Venue
Disputes shall be resolved exclusively in state or federal courts in Summit County, Ohio, and users consent to jurisdiction there.
12.3 Arbitration Clause
Claims exceeding $10,000 must be resolved by binding arbitration under American Arbitration Association (AAA) rules in Akron, Ohio, before a single arbitrator. Jury trials are waived.
12.4 Class Action Waiver
Users waive rights to representative, consolidated, or class claims. Claims must be filed individually.
13. SMS COMMUNICATIONS
13.1 Consent to Receive SMS Messages
By providing your mobile phone number and consenting to receive text messages, you agree that Cedarwood Management LLC (“Cedarwood”) may communicate with you via SMS (text messages) for purposes related to our services.
13.2 Types of Messages
SMS messages may include, but are not limited to:
• Application updates
• Leasing and tenancy communications
• Maintenance coordination and status updates
• Billing, payment, or account notices
• General customer service communications
13.3 Message Frequency
Message frequency may vary depending on your interactions with Cedarwood, your tenancy status, and service needs.
13.4 Message and Data Rates
Message and data rates may apply based on your mobile carrier and service plan. Cedarwood is not responsible for any charges imposed by your carrier.
13.5 Opt-Out Instructions
You may opt out of receiving SMS messages at any time by replying STOP to any message. After opting out, you may receive one final confirmation message. No further messages will be sent unless you reenroll.

13.7 Consent Not a Condition of Service
Consent to receive SMS messages is not a condition of leasing, applying for housing, or receiving services, except where such communication is necessary for operational or legal purposes.
14. MODIFICATIONS TO TERMS
Cedarwood may update these Terms at any time. Material changes will be posted or emailed with at least 30 days’ notice. Continued use constitutes acceptance.
